General Terms of Service for SurePoint Payment Services
General Terms of Service: These terms apply if Licensee contracted for SurePoint Payment Services on or after July 1, 2024. Capitalized terms not defined herein shall have the meaning ascribed to them in the General Terms and Conditions.
SurePoint Payment Services “SPPS” is a set of activities which enables the processing of electronic payments in accordance with federal, state and payment network scheme rules, including Regulation E and PCI-DSS standards. SurePoint Technologies, Inc. (“SurePoint”) agrees to undertake SPPS, providing through proprietary and third party services, applications, websites, software, cloud-based solutions, hardware, and other products and services in the United States of America to facilitate payments to the Licensee by Licensee’s clientele, or prospective clientele who may submit negotiated advance payments governed by state IOLTA rules and state ABA guidelines.
Enrollment: Licensee may enroll for SPPS at the time of purchasing other SurePoint related products. Enrollment does not guarantee that Licensee will be sponsored successfully by SurePoint for SPPS. Use of SPPS is subject to a full KYC/AML Registration (“Registration”) agreeable to both SurePoint and our third party partners including Stripe Inc, merchant sponsor bank.
Registration: Once Licensee has enrolled for SPPS, Licensee will have sixty (60) days to complete Registration. Licensee must open a merchant account with SurePoint (a “SPPS Account”) to use SPPS. During Registration SurePoint will ask Licensee for information, which may include but is not limited to, business details, banking details, business structure and owner(s) information. Licensee must provide accurate and complete information in response to SurePoint’s questions, and Licensee must keep that information current. Licensee is fully responsible for all activity that occurs under its SPPS Account, including for any actions taken by persons to whom Licensee has granted access to SPPS. SurePoint reserves the right to change the account type, suspend or terminate the SPPS Account for inaccurate, untrue, or incomplete information, or failure to comply with the SPPS Account requirements.

Other channels and methods include the following:
Branded Payment Network Cards: Accounts issued for use as consumer debit, consumer credit, commercial credit cards, and certain reloadable prepaid cards or alternate form factors such a digital wallet, virtual card numbers, or one-time use 16-digit primary account numbers.
Electronic Check / ACH / Bank Account: electronic check from an approved financial institution direct demand account (DDA) for a market or country enabled for Licensee.
Recurring Payment Methods: SurePoint may through its third-party partners offer Licensee certain mechanisms to promote and enable recurring payments for collections, personal payment plans, or b2b focused subscription plans.
Non-USA Payment Methods: SurePoint may through its third-party partners offer Licensee certain non-U.S. payment methods that may include international and domestic debit networks, domestic account transfer, SWIFT.
Practice Software Automation
Integration Feature: SurePoint has engineered a proprietary Embedded Payment Reconciliation (“EPR”) integration with its practice software solutions such as LMS, Coyote Analytics and other SaaS versions including a limited set for legacy and Licensee hosted installations. EPR incorporates the entire lifecycle of digital payments by tracking the banking authorization, clearing and funds settlement steps with approved practice accounting software functions to batch, report, draft and post transactions in a grouping optimally matching the intended merchant payout deposit that corresponds with the monetary value of clientele payments. EPR is also equipped with our proprietary Optional Extended Review Period Feature that may be available to certain SurePoint practice software customers to allow editing of EPR drafted batches to accommodate allocation changes, over payments, under payments or notations related to the clientele’s account and or payment history.
Charges
Program Fees: During the Registration process Licensee will choose a pricing plan that best fits Licensee’s business objectives and budget. Each pricing plan is tailored and may contain one or all of the following cost elements:
- One-Time Program Enrollment Setup Charge
- Annual PCI Compliance Charge
- Monthly Merchant Participation Fee
- Monthly Embedded Payment Automation Fee
- Per Transaction Handling Fee
- Per Transaction Merchant Discount Fee or, Inclusive Authorization Processing Fee
- Per Item Dispute Management Fee
- Exclusive Pass-Thru Charge Fee
- Volume Discount Rebate
- Multi-Channel Discount
Collection of Program Fees Using Gross Settlement Feature: SurePoint will collect program fees by decrementing a total cost of service for a defined period of payments processed on all merchant accounts established for Licensee under the program, and in accordance with the agreed upon price plan. Service charges will be processed against the operating bank account registered to Licensee’s primary Merchant Account for both invoices and trust payments. Note: SurePoint will never deduct fees from your IOLTA/Trust bank account. Fees for these transactions will be included in the tally of total transactions.
Optional Payor Surcharge Fee Feature: SurePoint offers an optional Payor Surcharge fee feature in which Licensee may assess a % fee on every payment method and payment channel enabled for Licensee’s SPPS Account(s). SurePoint adheres the payment network principles adopted by the leading branded schemes in the US. For each surcharge, there is disclosure, calculation and aggregate authorization for every payment processed. Reporting and identification of invoice amount and surcharge amount is provided to Licensee for tracking of the cash liability throughout the month.
Prohibited Use Clause: Licensee agrees that the merchant account sponsored by Licensee shall be used for the processing of payments related to rendered legal services and advance payments for future retained legal services. Licensee acknowledges that certain payment transactions are strictly prohibited under these general terms of service, including but not limited to, bad debt collection and the collection of funds for purposes other than legal service fee payment.
Security: SurePoint takes security seriously but cannot guarantee that bad actors will not gain access to Licensee program information. Licensee must keep passwords safe, limit authorized user access to roles and responsibilities, and which Licensee or authorized user’s mobile or fixed computer devices can access SPPS services, and letting SurePoint know if Licensee thinks an unauthorized person is using SPPS Accounts. SPPS Account operates two factor authentication and multi factor authentication for access to our Merchant Manager Admin tool.
Licensee Clientele Personal Information: SurePoint will process limited personal data of Licensee customers’ or employees ‘on behalf of your business as a service provider (“data processor”). In such circumstances, Licensee agrees that it will comply with the data protection laws applicable to Licensee and will provide data subjects with information on the processing of their personal information which satisfies the transparency requirements of such data protection laws in the places and states in which Licensee operates. A posted privacy policy must be available on Licensee’s business website for SPPS systems to reference.
Merchant Service Provider Terms and Conditions: The SPPS set forth above are, in part, provided by Stripe (the “Merchant Service Provider”). In order to use SPPS, Licensee shall comply with the terms of the Merchant Service Provider’s Connected Account Agreement, which includes the Merchant Service Provider Terms of Service (collectively, the “Merchant Service Provider Services Agreement”). An acknowledgement copy will be provided to Licensee as part of the SPPS Registration process, and for convenience it may be viewed here in its complete form on Stripe’s website. https://stripe.com/legal/ssa
Changes: SurePoint reserves the right to routinely update, amend or change these terms and conditions. At least thirty (30) days prior to the effective date, SurePoint will notify Licensee by e-mail of such changes, and a new terms and conditions document will be posted at https://surepoint.com/general-terms-of-service-spps/. Licensee’s continued use of SPPS after the thirty (30) days will serve as Licensee’s agreement and consent to the changed terms.
